1. Agreement to Terms

Welcome to NoteGPT. These Terms of Service ("Terms") govern your access to and use of the NoteGPT mobile application ("App"), including any content, functionality, and services offered through the App.

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the App.

These Terms constitute a legally binding agreement between you and NoteGPT regarding your use of the App.

2. Eligibility

To use the App, you must:

  • Be at least 13 years old (or 16 in the European Economic Area)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the App under applicable laws
  • Provide accurate and complete information when required

If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account & Subscription

Subscription Plans:

  • The App offers free and premium subscription tiers
  • Premium features require an active subscription
  • Subscription fees are billed through the Apple App Store
  • Prices are subject to change with reasonable notice

Billing & Renewal:

  • Subscriptions automatically renew unless cancelled
  • You can cancel anytime through your Apple ID settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial subscription periods unless required by law

Free Trial:

  • Free trials may be offered for premium features
  • Trial terms will be clearly disclosed before activation
  • You will be charged automatically when the trial ends unless cancelled

4. Acceptable Use Policy

You agree to use the App only for lawful purposes. You agree NOT to:

Content Restrictions:

  • Process content that infringes intellectual property rights
  • Submit content that is illegal, harmful, or offensive
  • Use the App to generate spam or misleading content
  • Process content promoting violence, discrimination, or illegal activities

Technical Restrictions:

  • Attempt to bypass any security measures or access controls
  • Reverse engineer, decompile, or disassemble the App
  • Use automated systems or bots to access the App
  • Interfere with or disrupt the App's servers or networks

We reserve the right to suspend or terminate your access for violations of this policy.

5. Intellectual Property Rights

Our Intellectual Property:

The App and its original content, features, and functionality are owned by NoteGPT and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content:

  • You retain ownership of content you submit to the App
  • You grant us a license to process your content to provide our services
  • You represent that you have the right to submit such content
  • We do not claim ownership of your input or output content

Third-Party Content:

  • YouTube content is subject to YouTube's Terms of Service
  • You are responsible for ensuring you have the right to process third-party content

6. Service Description

NoteGPT provides the following AI-powered services:

Video Tools:

  • YouTube Video Summarizer - Generate AI summaries of videos
  • Transcript Generator - Extract transcripts from videos
  • Subtitle Downloader - Download subtitles in various formats
  • YouTube to Text - Convert video content to text

Text Tools:

  • Humanizer AI - Transform AI-generated text to sound natural
  • AI Detector - Analyze text for AI-generated content

Service Limitations:

  • Services depend on availability of video captions/data
  • AI-generated content may not be 100% accurate
  • Processing times may vary based on content length
  • Some features require an active internet connection

7. AI-Generated Content Disclaimer

Accuracy:

Our AI-powered features generate content based on machine learning algorithms. While we strive for accuracy, AI-generated content:

  • May contain errors, inaccuracies, or omissions
  • Should not be relied upon as the sole source of information
  • May not reflect the most current information
  • Should be verified before use in critical applications

No Professional Advice: AI-generated content does not constitute legal, medical, financial, or professional advice.

Your Responsibility:

You are solely responsible for reviewing and verifying AI-generated content, how you use the content, and any consequences arising from its use.

8. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties regarding security, reliability, timeliness, and performance
  • Warranties that the App will be uninterrupted, error-free, or virus-free
  • Warranties regarding the accuracy or completeness of content

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Exclusion of Damages:

In no event shall NoteGPT be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses.

Liability Cap:

Our total liability for any claims shall not exceed the greater of: the amount you paid us in the 12 months preceding the claim, or one hundred US dollars ($100).

10. Termination

Termination by You:

  • Delete the App from your device
  • Cancel your subscription through Apple
  • Request account deletion by contacting us

Termination by Us:

We may suspend or terminate your access immediately for breach of these Terms, fraudulent activity, or non-payment.

Effect of Termination:

Upon termination, your right to use the App will immediately cease. You will not be entitled to refunds for unused subscription periods.

11. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States.

Dispute Resolution:

  • Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at legal@notegpt.app
  • Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration
  • Class Action Waiver: You agree to resolve disputes on an individual basis

12. Apple App Store Terms

The following terms apply to your use of the App through the Apple App Store:

  • These Terms are between you and NoteGPT only, not Apple
  • NoteGPT is solely responsible for the App and its content
  • NoteGPT is responsible for providing maintenance and support
  • Apple and its subsidiaries are third-party beneficiaries of these Terms
